Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Finbard (the “Service”), provided by Mesh Payments. By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Accounts

You are responsible for the security of your account credentials and for all activity under your account. Notify us promptly of any suspected unauthorized use.

3. Acceptable use

You agree not to:

• Use the Service to violate any law or third-party right.
• Upload content you do not have the right to share, including confidential data of third parties without authorization.
• Attempt to reverse engineer, probe, or disrupt the Service, or use it to train competing models.
• Use the Service to generate illegal, harmful, deceptive, or infringing content.

4. Customer content

You retain all rights in the data, files, and prompts you submit to the Service (“Customer Content”). You grant us a limited license to process Customer Content solely to provide and improve the Service for your organization, subject to our Privacy Policy.

5. AI output

Finbard uses large language models to generate responses. Output may be inaccurate, incomplete, or out of date. You are responsible for reviewing AI output before relying on it for financial, legal, or other consequential decisions.

6. Fees

Fees, if any, are described in your order form or subscription plan. Fees are non-refundable except where required by law.

7. Confidentiality

Each party will protect the other party’s confidential information with at least the same degree of care it uses to protect its own confidential information and not less than a reasonable standard of care.

8. Termination

Either party may terminate the agreement for material breach not cured within thirty (30) days of notice. Upon termination, your right to access the Service ends, and we will delete or return Customer Content as set out in the Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. EACH PARTY’S AGGREGATE LIABILITY ARISING OUT OF THE AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The exclusive venue for any dispute will be the state or federal courts located in Delaware.

12. Changes

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Continued use of the Service after the changes take effect constitutes acceptance.
